LASERHIT AFFILIATE PROGRAM OPERATING AGREEMENT

This Affiliate Program Operating Agreement (“Agreement”) sets forth the terms and conditions governing your participation in the LaserHIT Affiliate Program (“Program”). “LaserHIT,” “we,” “us,” or “our” means LASERHIT, LLC, a Nevada company with its principal place of business at 11500 South Eastern Ave, Ste 150, Henderson, Nevada, 89052. “You” or “your” means the applicant. “Site” means any website, social media account, online forum, email newsletter, podcast, or other online presence you control. “Offline Channel” means any in-person or non-internet method of promotion (e.g., at a range, club, class, or store). “Referral Code/Link” means the unique affiliate code and/or URL we assign to you.

By applying to or participating in the Program, you agree to be bound by this Agreement and all documents incorporated by reference, including the Commission Schedule and Program Policies posted on our website (collectively, “Program Policies”). If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you are authorized to bind that entity.

1. Program Description
   The Program permits approved participants to promote eligible LaserHIT products listed on the official LaserHIT online store(s) (“LaserHIT Store”) and earn commissions on qualifying purchases made via your Referral Code/Link, subject to this Agreement and the Program Policies.

2. Enrollment and Eligibility
   2.1 Application. To enroll, you must submit a complete and accurate application identifying your promotional channels (e.g., websites, social accounts, Offline Channels).
   2.2 Review; Approval. We may approve or reject any application in our sole discretion. We may later revoke approval if your channels become unsuitable.
   2.3 Unsuitable Channels. Unsuitable channels include those that: (a) promote illegal activity; (b) contain hate speech, harassment, or explicit sexual content; (c) incite violence; (d) infringe intellectual-property or privacy rights; or (e) otherwise pose reputational or legal risk.
   2.4 Accuracy. You must keep your account, tax, and contact information current and accurate.

3. Referral Codes/Links; Promotional Methods
   3.1 Use. After approval, we will provide your Referral Code/Link. You may use it on your Site and in Offline Channels, in emails (not spam), within social media posts, stories, and bios, in forum posts (subject to forum rules), at classes or events, and on printed materials (e.g., QR codes), provided all use complies with this Agreement and applicable laws.
   3.2 Formatting and Tracking. You are responsible for correctly implementing Referral Codes/Links. Commission is only paid on properly tracked qualifying purchases.
   3.3 Tools. We may provide dashboards, reports, creatives, or other tools. You may not alter creatives except for size/formatting unless we consent in writing.
   3.4 FTC and Platform Disclosures. You must clearly and conspicuously disclose your affiliate relationship in each post, page, video, podcast, email, or Offline Channel where you promote LaserHIT (e.g., “I earn commissions if you buy through my link”). You must comply with the U.S. FTC Endorsement Guides and applicable platform policies.

4. Prohibited Conduct
   You will not:
   (a) engage in spam (unsolicited bulk emails/SMS), deceptive or misleading practices, cookie stuffing, link hijacking, or use adware/malware;
   (b) bid on or use LaserHIT or product brand terms, trademarks, or misspellings in search ads, domain names, handles, or hashtags without our prior written consent;
   (c) operate coupon/deal sites or “code reveal” mechanisms unless explicitly approved in writing;
   (d) self-refer, place orders for your own use or on behalf of others, or facilitate resellers;
   (e) offer cash rebates, gift cards, or other consideration to induce use of your Referral Code/Link without prior written approval (note: LaserHIT-approved discounts/bonuses tied to our Founder/affiliate benefits are permitted when expressly authorized);
   (f) make claims about LaserHIT products that are untruthful, unsubstantiated, unsafe, or inconsistent with our official materials;
   (g) frame, mirror, or emulate the LaserHIT Store; or
   (h) violate laws or third-party terms (including range/club rules, forum rules, and social platform policies).

5. Orders; Customer Relationship
   LaserHIT (or its designated store/fulfillment partner) processes orders and handles customer service, cancellations, returns, and refunds. Customers who purchase through your Referral Code/Link are customers of LaserHIT. Pricing and availability may change without notice.

6. Qualifying Purchases; Attribution Window
   6.1 Definition. A “Qualifying Purchase” is a purchase of eligible LaserHIT products completed through the LaserHIT Store after a customer navigates via your properly formatted Referral Link or applies your Referral Code at checkout within the attribution window and the order is paid, not cancelled, and not refunded.
   6.2 Attribution Window. Unless otherwise stated in the Commission Schedule, the standard attribution window is thirty (30) days from initial click. If a Referral Code is entered at checkout, the code will attribute the order regardless of click timing, provided no other conflicting program rule applies. Last-click attribution applies to clicks; direct code entry overrides click attribution.
   6.3 Exclusions. No commission is earned on: (a) self-purchases; (b) wholesale/resale orders; (c) gift cards (unless the Schedule states otherwise); (d) taxes, shipping, and service fees; (e) orders cancelled, refunded, or charged back; (f) orders not correctly tracked due to improper link formatting or technical issues outside our reasonable control; or (g) products/categories listed as excluded or at a special rate in the Commission Schedule.

7. Commission; Commission Schedule
   7.1 Rates. Commission rates and any special promotions are stated in the Commission Schedule posted on our site (the “Commission Details” page). Rates may vary by product category, SKU, or campaign.
   7.2 Changes. We may modify rates or eligible products. Material changes to base rates will be announced on the Commission Details page and by reasonable notice (e.g., email) at least fifteen (15) days before they take effect, unless a shorter period is required by law or for newly launched/retired products.
   7.3 Founders/Perks. Where LaserHIT authorizes affiliate-facing or follower-facing incentives (e.g., approved discounts, bonus items, or competition access), such incentives must be used exactly as specified.

8. Reporting; Reconciliation
   Your dashboard will display tracked clicks, orders, and provisional commissions. Final commissions are determined after reconciliation for cancellations, returns, and fraud review. We may correct errors at any time.

9. Payment; Taxes
   9.1 Method and Timing. Payments are made in U.S. dollars via PayPal or check to the payee information you provide. Payments are issued monthly, within thirty (30) days after month-end, provided your payable balance meets the minimum payout threshold stated on the Commission Details page (default: $50). Unpaid balances roll over.
   9.2 Chargebacks/Adjustments. Commissions on refunded/charged-back orders are deducted from future payments. If your balance is insufficient, you authorize us to invoice you for the difference.
   9.3 Tax Matters. You are responsible for your taxes. U.S. payees must provide a completed IRS Form W-9; non-U.S. payees must provide the appropriate W-8 form. We may withhold taxes where required by law.

10. Intellectual Property; Limited License
    10.1 License to You. Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the LaserHIT name, logos, approved product images, and promotional materials we provide (“LaserHIT Marks/Materials”) solely to promote eligible products in accordance with this Agreement and our brand guidelines.
    10.2 Ownership. We and our licensors retain all right, title, and interest in and to the LaserHIT Marks/Materials, the LaserHIT Store, and all associated IP.
    10.3 Your Content. You retain ownership of your original content. You grant LaserHIT a non-exclusive, worldwide, royalty-free license to use, reproduce, and display any content you voluntarily submit to us (e.g., testimonials, photos, videos) for Program-related marketing, with credit where commercially reasonable.

11. Compliance; Audit
    You agree to comply with all applicable laws (including the FTC Endorsement Guides, CAN-SPAM and analogous laws, and platform/venue rules). We may request reasonable evidence of compliance and may review your public promotional materials. Repeated noncompliance may result in suspension or termination.

12. Confidentiality; Data
    Any non-public information we provide (e.g., not publicly available rates, pre-release product info) is LaserHIT confidential information. You will not disclose it except to the extent necessary to perform under this Agreement. You will comply with privacy laws when collecting or processing personal data in connection with your promotions.

13. Term; Termination
    13.1 Term. This Agreement begins on our approval of your application and continues until terminated.
    13.2 Termination for Convenience. Either party may terminate at any time upon written notice (including email).
    13.3 Effect. Upon termination, you must cease use of the LaserHIT Marks/Materials and remove Referral Codes/Links and promotional content that implies an active Program relationship. We may withhold final payment for a reasonable period to account for returns/chargebacks. Sections 9.2, 10.2–10.3, 12–18 survive termination.

14. Modifications
    We may modify this Agreement or the Program Policies from time to time. Material changes will be announced with at least fifteen (15) days’ notice, unless a shorter period is required for legal, security, or product lifecycle reasons. Your continued participation after the effective date constitutes acceptance.

15. Independent Contractor
    You are an independent contractor. Nothing herein creates a partnership, franchise, agency, or employment relationship. You may not bind LaserHIT or make commitments on our behalf.

16. Representations; Disclaimers
    You represent that you have the right to enter this Agreement and that your participation will not violate any law or third-party rights. THE PROGRAM, DASHBOARD, AND MATERIALS ARE PROVIDED “AS IS.” WE DISCLAIM ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

17. Limitation of Liability
    TO THE MAXIMUM EXTENT PERMITTED BY LAW, LASERHIT WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS/REVENUE/GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE COMMISSIONS PAID OR PAYABLE TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

18. Indemnification
    You will defend, indemnify, and hold LaserHIT and its officers, directors, employees, and agents harmless from and against third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of this Agreement, your noncompliance with laws, or your infringement/misuse of third-party rights.

19. Governing Law; Venue
    This Agreement is governed by the laws of the State of Nevada, without regard to conflicts of laws principles. The state and federal courts located in Clark, Nevada shall have exclusive jurisdiction over any dispute arising out of or relating to this Agreement, and the parties consent to personal jurisdiction therein. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.

20. Miscellaneous
    20.1 Assignment. You may not assign this Agreement without our prior written consent. We may assign it to an affiliate or successor.
    20.2 Entire Agreement. This Agreement and the Program Policies constitute the entire agreement and supersede all prior understandings regarding the Program. In the event of a conflict, the Commission Schedule controls over this Agreement solely as to rates/categories; otherwise this Agreement controls.
    20.3 Severability; Waiver. If any provision is held unenforceable, it will be modified to the minimum extent necessary; the remainder remains in effect. Our failure to enforce any provision is not a waiver.
    20.4 Notices. We may provide notices via email to your account address or via postings within the Program portal; you may provide notices to info@laserhit.com.

Commission Schedule (Summary; see Commission Details page for current rates)
• Standard commission: up to 10% on eligible LaserHIT products (kits, accessories, add-ons).
• Exclusions or special rates: as posted on the Commission Details page (subject to change with notice).
• Payout threshold: $100; payout method: PayPal or check; payout timing: monthly, net-30 after month-end.
• Attribution window: 30 days from click; Referral Code at checkout overrides click attribution (subject to conflicts).
• No commission on taxes, shipping, service fees, gift cards (unless stated otherwise), self-purchases, wholesale/resale, cancelled/refunded/charged-back orders.

By applying to and/or participating in the Program, you acknowledge that you have read, understand, and agree to be bound by this Agreement and the Program Policies.
